1- Overview

The website, cairp.ca, is owned and operated by the Canadian Association of Insolvency and Restructuring Professionals (“CAIRP”) to provide a forum for insolvency and restructuring professionals and those interested in the work they do.

Please read the Terms of Use for this website carefully. By accessing, browsing or using the website you are agreeing to be bound by these Terms of Use. . We reserve the right, at our sole discretion, to modify the Terms of Use at any time.

If you do not agree to all the terms and conditions, do not access or use the site or the services on it.

2- Access to the Services

Only For Your Personal Use

CAIRP grants you a limited, revocable, non-exclusive, non-assignable personal licence to access this website for your own use.  This does not represent a transfer of title for any of the website content. If you do not use the website in keeping with the Terms of Use, CAIRP may immediately terminate this licence.

Changes to this Website and Services without Notice to You

CAIRP may change, suspend, limit or discontinue the services provided on the website for any reason and at any time without notice or liability to you.

Changes to the Terms of Use

CAIRP may, at its discretion, modify the Terms of Use at any time, without notice, by updating this posting. You are responsible for reviewing and becoming familiar with any such modifications. Your use of the site means that you have accepted the terms and conditions of the modified Terms of Use.

Interruptions to Site or Services

CAIRP will use reasonable efforts to ensure that the website and services on it are available 24 hours a day, seven days a week.  However, there will be occasions when the website or services will be interrupted for maintenance, upgrades, repairs, failure of telecommunications links and equipment, or other reasons.  CAIRP will take every reasonable step to minimize such disruption where it is within CAIRP’s control.

By using this website, you agree that CAIRP will not be liable to you or any other party for any suspension, modification, discontinuance or lack of availability of the website and the content or services on it.

CAIRP undertakes to implement all reasonable precautions to safeguard the website from computer viruses but does not guarantee total absence. It is your responsibility to regularly scan for computer viruses and to have a complete and current back-up of the content of your computer system.

The contents of the website are protected by copyright and other intellectual property laws under both Canadian and foreign laws. This means that you may not modify, publish, transmit, participate in the transfer or sale of, reproduce (except as provided in this Section of the Agreement), create derivative works based on, distribute, perform, display, or in any way exploit, any of the software or materials on this website.

5- Registration and Security

As a condition to accessing some services on the website, you may be required to register with CAIRP and select a password.  You must provide CAIRP with accurate and complete registration information.  You are responsible for maintaining the confidentiality of your password, and are responsible for all activities that occur under your username and password.

You agree to:

  • immediately notify CAIRP of any unauthorized use of your password or account or any other breach of the security of the website if you reasonably suspect it; and
  • ensure that you exit from your account at the end of each session.

6- Indemnity

You agree to defend, indemnify and hold CAIRP, its directors, officers, volunteers, employees, agents and members, including all third parties mentioned on this website, harmless from any claim or demand, including costs and lawyers' fees made by any third party arising out of your access to the website, use of the services on it, your violation of the Terms of Use, or your infringement or the infringement by any third party using your account, of any intellectual property or other right of any person or entity.

7- Termination

Once CAIRP terminates your account, you will no longer have the right to access the website or the services.

You agree that CAIRP in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, or otherwise terminate your access to or use the Site (or any part thereof), immediately and without notice, for any reason, including, without limitation, if CAIRP believes that you have acted inconsistently with the letter or spirit of the Terms of Use.  Further, you agree that CAIRP shall not be liable to you or any third party for any termination of your access to the website.  Further, you agree not to attempt to use the website after said termination.  The disclaimers, limitation on liability and indemnity provisions of the Terms of Use shall survive termination of your account, as shall any other provision which by its nature ought to survive termination.

10- General Provisions

Ontario Jurisdiction

The Terms of Use and the relationship between you and CAIRP shall be governed by the laws of the Province of Ontario without regard to its conflict of laws provisions. You and CAIRP agree to submit to the jurisdiction of the courts located in Toronto, Ontario.

Entire Agreement for Use of this Site

The Terms of Use (including CAIRP’s privacy notice) constitute the entire agreement between you and CAIRP regarding the use of the website, superseding any prior agreements between you and CAIRP in respect of the website.
